The Service
Family Office Core connects, with the Client’s authorization, to sources the Client chooses: financial accounts through Plaid, QuickBooks Online accounting through Intuit, selected messages in a Gmail office mailbox (read-only), and a shared Google Drive (read-only). It organizes that information in a private workspace kept separate for the Client, and lets the Client’s authorized users search it and ask questions about it through Claude.
The Service is read-only against the connected sources. It does not move money, make payments, execute trades, file documents, or change records in any connected account.
License to use the Service
Subject to these terms, we grant the Client and its authorized users a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for the Client’s own internal family-office purposes while these terms are in effect.
We and our licensors keep all rights in the Service, including its software, design, and documentation, except the rights expressly granted here. The Client’s data is not part of the Service and is addressed in Your data. If you send us feedback or suggestions, we may use them without obligation to you.
Eligibility and accounts
- You must be at least 18 years old and invited by the Client, or by us at the Client’s request, to use the Service.
- The Client decides who its authorized users are and must tell us promptly when someone’s access should end.
- You must keep your sign-in credentials and devices secure, use any multi-factor authentication we require, and not share your account with anyone.
- You must tell us promptly at privacy@wesleydickens.com if you believe your account or the Client’s data has been accessed without authorization.
Client responsibilities
- Authority to connect. The Client confirms that it, and each user who connects a source, has the legal right and authority to connect each account, mailbox, drive, and company, and to allow us to access and process the information in it, including information about other people, such as family members, employees, and counterparties, that those sources contain.
- Choosing what to connect. The Client decides which sources, mail selections, and shared drives are connected, and is responsible for keeping out anything it does not want the Service to process.
- Accurate information. The Client provides accurate information about its users and the entities and accounts it connects.
- Lawful use. The Client uses the Service in compliance with the laws, professional rules, and contracts that apply to it.
- Reviewing outputs. The Client is responsible for decisions made using the Service and for reviewing outputs as described in No professional advice.
Third-party services
The Service depends on services provided by other companies, each governed by its own terms and privacy policy:
- Plaid connects financial accounts. Plaid’s handling of your information is described in the Plaid End User Privacy Policy.
- Intuit provides QuickBooks Online and authorizes access to it.
- Google provides Gmail and Google Drive and authorizes access to them.
- Adapter indexes and retrieves connected information to answer questions on our behalf.
- Anthropic provides Claude. You use Claude under your own agreement with Anthropic.
We do not control these services and are not responsible for their availability, accuracy, or changes. A change by a provider, including a change to its terms, access, or pricing, may require us to change or stop offering part of the Service. Your use of a third-party service is between you and that provider.
Your data
The Client keeps all ownership of the information it connects to or provides through the Service, and of the outputs generated from that information for the Client (“Client Data”). We do not acquire ownership of Client Data.
The Client grants us a limited license to access, copy, store, transmit, and process Client Data solely to provide, secure, and support the Service for the Client, and as required by law. We do not sell Client Data, use it for advertising, or use it to develop, improve, or train generalized artificial-intelligence or machine-learning models.
Our Privacy Policy describes how we collect, use, disclose, retain, and delete information, and forms part of these terms. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in the Privacy Policy.
Acceptable use
You must not:
- connect an account, mailbox, drive, or company you are not authorized to connect;
- access, or try to access, another client’s workspace or data, or any part of the Service you are not permitted to use;
- probe, scan, or test the Service’s security, or bypass any authentication, access control, or usage limit, without our written permission;
- copy, modify, reverse engineer, resell, or sublicense the Service, except as the law expressly allows;
- upload or transmit malicious code, or interfere with or overload the Service;
- use the Service or its outputs to make automated credit, employment, housing, insurance, or eligibility decisions about anyone; or
- use the Service for any unlawful, fraudulent, or harmful purpose, or in violation of a third-party provider’s terms.
Confidentiality
Each party will use the other’s non-public information that is marked confidential, or that a reasonable person would understand to be confidential, only to perform or receive the Service, and will protect it with at least reasonable care. Client Data is the Client’s confidential information.
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it without a duty of confidentiality, is independently developed without use of the other party’s information, or is rightfully received from someone else without a duty of confidentiality. A party may disclose confidential information when required by law or valid legal process, after giving the other party notice where the law allows. We may share confidential information with the providers and advisers described in the Privacy Policy, subject to confidentiality obligations.
No professional advice
The Service organizes and retrieves the Client’s information. It does not provide financial, tax, accounting, legal, or investment advice, and using it does not create an advisory, fiduciary, or professional relationship with Ephod.
Outputs, including AI-generated answers, summaries, and reconciliations, may be incomplete, out of date, or wrong, and may reflect errors in the connected sources. You must check outputs against the source records and have a qualified professional review any output before relying on it for a financial, tax, legal, investment, or other significant decision.
Pilot service, availability, and fees
The Service is offered as a pilot. Features may be added, changed, or removed, and the Service may be interrupted for maintenance, updates, provider outages, or security reasons. We do not promise any particular level of availability, response time, or support.
Fees, if any, are set out in a separate written agreement between the Client and Ephod.
Disconnection, suspension, and termination
- Disconnecting a source. The Client may disconnect any source at any time in the application, at the provider, or by contacting us. Disconnection stops future collection from that source.
- Ending use. The Client may stop using the Service and end these terms at any time by telling us. We may end these terms or stop offering the Service with reasonable notice to the Client.
- Suspension. We may suspend access immediately if we reasonably believe it is necessary to protect the Service, the Client, or others, to respond to a security incident, to comply with law or a provider’s requirements, or because of a material breach of these terms.
- After termination. Access ends, connections are revoked, and Client Data is retained and deleted as described in the Retention and deletion section of the Privacy Policy. Before termination, the Client may request a copy of information it supplied or authorized, as described in the Privacy Policy.
Sections on your data, confidentiality, no professional advice, disclaimers, limitation of liability, governing law, and general terms continue after termination.
Disclaimers
To the fullest extent permitted by law, the Service and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant the accuracy or completeness of information provided by connected sources or third-party services.
Limitation of liability
To the fullest extent permitted by law, neither Ephod nor its members, managers, employees, or contractors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service or these terms, even if advised of the possibility of those damages.
To the fullest extent permitted by law, Ephod’s total liability arising out of or relating to the Service or these terms will not exceed the greater of the amounts the Client paid Ephod for the Service in the twelve months before the event giving rise to the claim or one hundred U.S. dollars (US$100).
Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply. Nothing in these terms limits liability that cannot be limited by law.
Changes to these terms
We may update these terms. We will post the revised terms on this page with a new effective date and, for a material change, give the Client notice by email or in the application before it takes effect. Continued use of the Service after the effective date means acceptance of the revised terms. If the Client does not agree, it should stop using the Service and disconnect its sources.
Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the Service will be brought in the state or federal courts located in the State of New York, and each party consents to the jurisdiction of those courts.
General
These terms, the Privacy Policy, and any separate signed agreement described above are the entire agreement about the Service. If any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. The Client may not assign these terms without our written consent; we may assign them to an affiliate or to a successor to the Service, including in a merger, reorganization, or sale of assets, with notice to the Client. Neither party is responsible for delays caused by events beyond its reasonable control.
